Terms of Service

Bracho Holdings LLC

These Terms of Service ("Terms") are a binding agreement between you and Bracho Holdings LLC, a the State of Texas limited liability company ("PROPHECY", "we", "us" or "our"). They govern your use of tradeprophecy.com, the PROPHECY learning platform, the PROPHECY Discord server, mentorship calls, and every other product or service we offer (together, the "Services"). By creating an account, purchasing, joining the Discord, booking a call or otherwise using the Services, you agree to these Terms, to our Privacy Policy, Refund Policy, Risk Disclaimer, Earnings & Testimonials Disclaimer and Affiliate Disclosure, which are part of these Terms. If you do not agree, do not use the Services.

Please read Section 17 carefully. It requires disputes to be resolved by individual binding arbitration and waives your right to a jury trial and to take part in a class action.

1. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Services. By using the Services you confirm that you meet these requirements and that using them is lawful where you live.

2. Education only — not financial advice

PROPHECY is a futures-trading education business. We teach a method of reading markets (including ICT concepts and order flow). Everything we provide — lectures, recaps, trade breakdowns, live or recorded calls, Discord messages, checklists and any other material — is for educational and informational purposes only. None of it is financial, investment, trading, legal or tax advice, a recommendation to buy or sell any instrument, a trading signal service, or an offer to manage money. Neither Bracho Holdings LLC nor Sebas Bracho is registered as a commodity trading advisor (CTA), introducing broker, futures commission merchant, investment adviser (RIA) or broker-dealer. You alone decide whether, when and how to trade, and you alone are responsible for the results. See the Risk Disclaimer.

3. The products

We sell access through Whop (whop.com), our payment and membership platform:

  • Prophecy Membership — a recurring monthly subscription (regular price $127/month) that includes the PROPHECY learning platform and the members-only areas of the PROPHECY Discord for as long as the subscription is active and in good standing.
  • Prophecy Membership — Lifetime — a single payment (regular price $547) for the same access for as long as PROPHECY operates. It never renews and is not refundable.
  • Founding membership — members who joined under the founding offer pay $97/month. That rate is locked only while the subscription stays continuously active; the rules are in the Refund Policy.
  • Prophecy Community — a free tier that gives access to the public channels of the PROPHECY Discord only. It does not include the learning platform or mentorship.
  • 1-on-1 Mentorship — private coaching with Sebas Bracho, sold by application only (pay in full or a payment plan where offered), which includes Prophecy Membership access for the mentorship period described at checkout. See Section 5.
  • Free training — a free video training on this site. Chapter 1 is open to everyone; chapters 2 and 3 open when you give us your email. The free training is education only, grants no membership, and may be changed or withdrawn at any time.

Prices, features and what each product includes are those shown on the Whop checkout page at the time you buy. We may change prices for future purchases or future billing periods; for subscriptions, we will give you notice before a new price applies to you, and you can cancel before it does.

4. Payments, billing and cancellation

All payments are processed by Whop under Whop's own terms and privacy policy. We never see or store your full card details. Memberships renew automatically every billing period (about every 30 days) at the then-current rate for your plan until you cancel. You can cancel at any time from your Whop account; cancelling stops future charges and your access continues until the end of the period you have already paid for. You are responsible for any taxes that apply to your purchase. All sales are final except as set out in the Refund Policy.

5. 1-on-1 Mentorship terms

  • Application and approval. Mentorship seats are limited and require an application. We may accept or decline any application at our discretion. If we decline an application and you have already paid, we will refund that payment in full.
  • Price. The investment is quoted to you personally after your application is accepted (pay in full, or a payment plan where offered; a payment plan costs more in total than paying in full). The price you pay is the one shown at checkout. A later price change, sale or promotion does not entitle you to a partial refund or credit.
  • Booking. Calls are booked at tradeprophecy.com/book and held in Discord voice. Unless we tell you otherwise in writing, you may book up to 2 lecture calls per week, with at least one clear day between them.
  • Notice, cancellations and no-shows. Bookings, reschedules and cancellations need at least 24 hours' notice. A call you miss without cancelling at least 24 hours ahead (a "no-show") is forfeited and is not rescheduled, refunded or credited. Calls not booked within a week do not roll over unless we agree. If we need to cancel a call, we will offer you a replacement time.
  • What mentorship is and is not. Mentorship is personal education and feedback on your process. It is not account management, trade copying, signals, or a promise that you will pass any evaluation, get funded, receive a payout or make money.
  • All sales final. The mentorship fee is non-refundable once your application is accepted and payment is made, including if you stop attending or do not complete the program.

6. Your account

You log in through Whop. Keep your login secure and tell us promptly if you believe it has been used without permission. One membership is for one person. You may not share, sell, rent or transfer your account, login, booking access or Discord access, and you are responsible for everything done under your account.

7. Community rules

The PROPHECY Discord and our calls are a learning space. When using them you agree not to:

  • harass, threaten, demean or discriminate against anyone, or post hateful, sexual, violent or illegal content;
  • sell or promote products, services, signals, copy-trading, account-management or "pass your evaluation" services, or recruit members for other groups, without our written permission;
  • give or ask for personalised financial advice presented as a recommendation, or pressure others to take trades;
  • post other people's personal information, or share members' charts, messages, calls or identities outside the community;
  • impersonate anyone, spam, scrape, or try to disrupt or hack the Services;
  • break Discord's own Terms of Service and Community Guidelines, which also apply.

We may remove content and warn, mute, suspend or remove anyone who breaks these rules, at our discretion.

8. Recording and consent

We record some sessions so members can learn from them later — in particular the weekly group call and "Hot Seat" sessions, where a member's trades or process are reviewed live. We will say when a session is being recorded. By joining a session that is announced as recorded, you consent to being recorded (including your voice, username, avatar, any camera video, any screen or charts you share, and what you say in chat) and grant Bracho Holdings LLC a worldwide, royalty-free, perpetual licence to use, edit and show that recording to PROPHECY members and students inside the Services. We will not use your recording in public advertising without your separate permission. If you do not want to be recorded, keep your camera and microphone off, do not share your screen, or leave before recording starts; you may also ask us before a Hot Seat to be reviewed without being recorded. Private 1-on-1 mentorship calls are not recorded unless we both agree. You may not record, screenshot or re-share any call or member content yourself without our written permission.

9. Our intellectual property

All lectures, videos, recordings, slides, checklists, notes, frameworks (including "The Prophecy Model"), text, graphics, logos and software in the Services are owned by Bracho Holdings LLC or its licensors and are protected by copyright, trademark and other laws. While your access is active we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to view them for your own education. You may not copy, download (except where we provide a download button), record, redistribute, resell, publish, stream, post in other groups, use to train AI models, or create courses or products from any of it. Sharing or leaking content is a serious breach and will result in immediate termination without refund, and we may take legal action.

10. Your content

You keep ownership of what you post (charts, messages, journal entries, notes). You grant us a non-exclusive, royalty-free licence to host, store, display and use it to run the Services, and, for content you share in community spaces or recorded sessions, to show it to other members for teaching. You confirm you have the right to share what you post. Your private lesson notes are visible only to you and to us as needed to run the Services.

10a. Testimonials

We only use your name, words, results or likeness in marketing if you have given us permission for that specific use, which you can withdraw for future uses at any time by contacting us. Posting in the PROPHECY Discord or on a call is not that permission.

10b. Texting (SMS) terms

If you give us a mobile number and tick the box asking for texts, we may send you SMS messages about the free training, new lectures, calls, openings and your enrolment. Consent to texts is never a condition of buying anything. Message frequency varies. Message and data rates may apply. Reply STOP at any time to stop, or HELP for help; you can also email us. Carriers are not liable for delayed or undelivered messages. We do not share your number or your texting opt-in with third parties for their marketing.

10c. What you need on your side

You are responsible for a device and browser that can play video, a stable internet connection, an email address you actually check, and keeping your login details private. We are not responsible for problems caused by your equipment or connection.

10d. Confidentiality

Lecture videos, notes, templates, call recordings and anything else inside the member areas are for members only. You agree not to share, resell, re-upload or teach our materials to non-members, and not to use them to build a competing product. Sharing your login is a breach of these Terms.

11. Third-party services and links

The Services rely on third parties such as Whop, Discord, video hosting and prop firms or brokers we may mention. Their services are governed by their own terms and we are not responsible for them, including their outages, rule changes, account decisions or payouts. Some links are affiliate links; see the Affiliate Disclosure.

12. Changes to the Services

We may add, change or remove lectures, calls, schedules, features and community structure at any time to improve the program. We will not materially reduce the core of what you paid for during a period you have already paid for without offering a fair alternative.

13. Suspension and termination

You may stop using the Services and cancel your membership at any time on Whop. We may suspend or end your access, without refund, if you breach these Terms (including sharing access or content, abusive conduct or a chargeback on a valid purchase), if required by law, or if continuing would expose us or other members to harm. If we end your access for no fault of yours, we will refund the unused portion of any prepaid period. Sections that by their nature should survive (including 2, 8–10 and 14–19) survive termination.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY METHOD, CONCEPT OR EXAMPLE WILL PRODUCE PROFITS, PASS AN EVALUATION OR AVOID LOSSES. PAST RESULTS DO NOT GUARANTEE FUTURE RESULTS.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BRACHO HOLDINGS LLC AND ITS OWNERS, MEMBERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY TRADING OR INVESTMENT LOSSES, LOST PROFITS, LOST DATA, EVALUATION OR ACCOUNT FEES, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF GREATER. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

16. Indemnity

You agree to defend, indemnify and hold harmless Bracho Holdings LLC and its owners, members, employees and contractors from any claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising from your use of the Services, your trading decisions, your content, or your breach of these Terms or of any law or third-party right.

17. Dispute resolution, arbitration and class-action waiver

Talk to us first. Before starting any claim, email with a description of the dispute; we both agree to try in good faith to resolve it informally for 30 days.

Binding arbitration. If it is not resolved, any dispute, claim or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration may be held by video or phone, or in person in the county of our principal place of business or your county of residence. Judgment on the award may be entered in any court with jurisdiction. Either party may instead bring an individual claim in small-claims court if it qualifies, and either party may seek an injunction in court to protect intellectual property.

Class-action and jury waiver. YOU AND WE EACH AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL. If this class-action waiver is found unenforceable for a claim, that claim must be heard in court and not in arbitration.

Opt-out. You may opt out of this Section 17 by emailing within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration.

18. Governing law and venue

These Terms are governed by the laws of the State of Texas and applicable U.S. federal law (including the Federal Arbitration Act), without regard to conflict-of-law rules. Subject to Section 17, any court proceeding will be brought in the state or federal courts located in the State of Texas, and you consent to their jurisdiction.

19. General

These Terms (with the policies they reference) are the entire agreement between you and us about the Services. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, sale or reorganisation. We may update these Terms; we will post the new version here with a new date and, for material changes, notify members through the Discord or by email. Continuing to use the Services after changes take effect means you accept them.
